By creating an account or using The Gaines Method ("TGM," "we," "us," or "our") website, mobile experience, content, programs, or related services (collectively, the "Services"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not create an account and do not use the Services.
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. You represent that all information you provide is accurate and current.
The Services provide general fitness and wellness information and are not medical advice. Consult a qualified healthcare professional before beginning any exercise program, especially if you are pregnant, have a medical condition, or take medication. Stop immediately and seek medical attention if you experience pain, dizziness, shortness of breath, or any other adverse symptom.
You acknowledge that exercise and physical activity carry inherent risks, including but not limited to muscle strain, joint injury, bone fracture, cardiac events, heat-related illness, and in rare cases serious injury or death. You voluntarily assume all such risks, known and unknown, arising from your use of the Services.
To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue TGM, its owners, officers, employees, instructors, contractors, affiliates, licensors, and agents (the "Released Parties") from any and all liability, claims, demands, actions, and causes of action arising out of or related to any loss, damage, or injury — including death — sustained by you in connection with the Services, whether caused by the negligence of the Released Parties or otherwise.
You agree to indemnify and hold the Released Parties harmless from any third-party claims arising out of your use of the Services or your breach of these Terms.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
Paid Services renew automatically until cancelled. You authorize us (and our payment processors) to charge your payment method on each renewal. Except where required by law, payments are non-refundable.
All content delivered through the Services is owned by TGM or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive license to access the content for your own non-commercial use. You may not copy, redistribute, publicly perform, or create derivative works without our prior written consent.
You agree not to misuse the Services, including by attempting to access them through unauthorized means, interfering with their operation, sharing your account, or using the Services to harass or harm others.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR RESULT.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You and TGM agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved exclusively through final and binding individual arbitration, rather than in court, except that you may assert claims in small-claims court if your claims qualify.
The arbitration will be administered by JAMS under its Comprehensive Arbitration Rules and Procedures (or its Streamlined Rules for claims under $250,000), before a single arbitrator. The seat of arbitration will be the county of TGM's principal place of business, and the arbitration may be conducted by video, telephone, or in person at a mutually agreeable location. The Federal Arbitration Act governs the interpretation and enforcement of this section.
The arbitrator — not any federal, state, or local court — has exclusive authority to resolve any Dispute, including any claim that all or any part of this arbitration agreement is unenforceable.
Opt-Out. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@thegainesmethod.com within 30 days of first accepting these Terms. The notice must include your full name, mailing address, and the email address associated with your account.
YOU AND TGM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this Class Action Waiver is found unenforceable as to any particular claim, that claim will proceed in court, and all other claims will remain subject to arbitration.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Sections 4, 9, 10, 11, 12, and 14 survive termination.
These Terms are governed by the laws of the state of TGM's principal place of business, without regard to conflict-of-laws principles. Subject to the arbitration agreement above, the state and federal courts located in that jurisdiction will have exclusive jurisdiction over any matter not subject to arbitration.
We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new "Last updated" date and, where appropriate, by additional notice. Continued use of the Services after changes take effect constitutes acceptance.
